Acceptance of Terms
By engaging the services of Prime Pre Limited
(“Service Provider”), you (“Principal”
or “Client”) acknowledge that you have read, understood, and agree to be bound by
these Terms and Conditions.

These Terms and Conditions apply to all logistics services provided by Prime Pre
Limited, including shipping, clearing, forwarding, warehousing, and distribution.

If you do not agree to these Terms and Conditions, you must not use our
services.
●
Prime Pre Limited reserves the right to update or amend these Terms and
Conditions at any time, and continued use of our services constitutes acceptance of
the latest version.
Governing Law & Jurisdiction
●
These Terms and Conditions shall be governed by and construed in accordance
with the laws of .
Ghana
●
Any disputes arising out of or in connection with these Terms and Conditions
exclusive jurisdiction of the courts of Ghana
shall be subject to the .
●
Where applicable, international trade regulations and treaties may also apply.
Limitation of Liability
●
Prime Pre Limited shall not be liable for any indirect, incidental, special, or
consequential damages, including but not limited to loss of profits, business
interruption, or loss of business opportunities.
●
Liability for direct losses related to loss, damage, or delay of goods shall be
limited in accordance with the provisions stated under Section 6 ( Damages and Loss
).
●
In no event shall Prime Pre Limited’s total liability exceed
three times theshipping fee of the affected package, regardless of the cause of action.
●
The Principal accepts that shipping, warehousing, and clearing operations
inherently carry risks beyond the Service Provider’s control (e.g., customs delays,
port strikes, acts of God, regulatory seizures).
Force Majeure
●
Prime Pre Limited shall not be held liable for any delay or failure to perform
obligations caused by circumstances beyond its reasonable control.
●
Such circumstances include but are not limited to natural disasters, acts of
government, war, terrorism, strikes, port congestion, pandemics, or regulatory
inspections.
●
In such events, Prime Pre Limited will notify the Principal as soon as possible,
and obligations shall be suspended until the force majeure event is resolved.

1. AREA OF APPLICATION
1.1. All (supplementary) logistical operations, including inventory management,
door-to-door distribution, shipping, loading, unloading, clearing, and forwarding, as
well as services exclusively covered by a contract agreed upon by, are subject tothese terms and conditions.
1.2. Principal is the party that instructs its contracting partner with the provision of
logistics service for him/herself or third party. Here the PRINCIPAL is the CLIENT.
1.3. Service Provider is the instructed party to provide Logistics Service. Here the
service provider is PRIME PRE LIMITED.
1.4. Third Party appointed by the principal is considered a part of the agreement.
2. Communication and Documentation
2.1. As long as the transmitting parties can be identified or have met in person at
least once, each party has the right to communicate terms, statements, and notices
both verbally and electronically. The accuracy and loss of transmitted data are the
joint responsibility of the transmitting parties.
2.2. The Principal shall provide the Service Provider with all necessary information on
goods, services, contact information, and relevant addresses.
2.3. Written records and documents developed digitally are treated equally.
2.4. The Service Provider is required to provide the Principal with invoices and
receipts for both partial and full-service payments.
2.5. The Service Provider must inform the Principal without delay of any irregularities
occurring during the course of contractual duties and document them as well.
2.6. Each party agrees to keep any non-public data and information private and to
use it only for its intended purpose. Third parties may only receive data required to
carry out their tasks under the same confidentiality guidelines.
2.7. The Service Provider is required to provide a unique login, tracking, or invoice
code accessible only to the Principal and/or their third-party appointee.
2.8. Confidentiality restrictions do not apply when data must be disclosed to third
parties (auctioneers, law enforcement, regulators) due to legal requirements or when
the Principal has violated the law. The opposite party must be promptly informed of
such disclosure.
2.9. The Principal must obtain a warehouse receipt or stamp from the China
warehouse upon delivery of goods. The Service Provider will verify its authenticity.
Principals are advised to obtain necessary details (e.g., pictures, receipts) from
suppliers upon delivery of goods.
2.10. The Service Provider will update container status locations via their websiteand/or other social media platforms.
3. Tracking
3.1. The Principal is responsible for tracking goods until delivery to the receiving
warehouse and must obtain the receiving warehouse receipt or stamp.
3.2. The Principal must cross-check published daily update lists of goods received at
the receiving warehouse.
3.3. The Principal must alert the Service Provider if their goods appear in the
published list as received.
3.4. The Service Provider must publish a daily list of all packages received.
3.5. The Service Provider must provide tracking from the receiving warehouse to the
distribution warehouse.
3.6. The Service Provider must alert the Principal upon arrival of goods.
3.7. The Service Provider may assist the Principal in tracking overdue goods.
3.8. The Service Provider is not responsible for packages not delivered to the
receiving warehouse.
4. Goods
4.1. Dangerous goods and flammables (e.g., charcoal, gas) cannot be shipped via
shared shipping models.
4.2. Perishables such as food products or items with very short shelf lives are not
suitable for sea shipping.
4.3. The Principal must not send restricted or contraband goods to the receiving
warehouse.
Examples include: diapers, printing paper, sanitary pads, tissue, motorbikes, drones,
tricycles, gas, ammunition, fireworks, etc.
5. Shipment
5.1. Departure timelines are subject to cargo availability.
5.2. Ship transit times may change without recourse to the Service Provider.
5.3. Cargo may be inspected by customs or other regulatory bodies at their instance
and time.5.4. The Service Provider is committed to ensuring safe and efficient delivery of
packages.
5.5. Time-sensitive items (e.g., for weddings, graduations) should be shipped earlier
or by air. The Service Provider will not be held liable for event-related delays beyond
their control.
6. Damages and Loss
6.1. Avoid shipping items smaller than 0.2 CBM
, as they are prone to getting lost.
Compensation is at the Service Provider’s discretion.
6.2. In case of missing goods, Prime Pre Limited may refund the full price of the
package, but not exceeding three times the shipping fee. Supplier ID and receipts will
be required. Refunds are typically issued through reduced shipping fees over time
(10%–30% discounts).
6.3. Breakables, fragile items, and liquids must be well-protected in a wooden frame
and clearly labeled. The Service Provider will not be liable for damages where the
origin of damage is unknown.
6.4. Small, high-value items (e.g., phones, laptops, jewelry) should be imported by air.
7. Warehouse and Measurements
7.1. Measurements will be taken at the China warehouse and confirmed upon arrival
in Ghana before distribution.
7.2. Goods left in the warehouse for more than 4 days will incur storage charges:

Sea packages: GHS 30 per CBM/day
●
Air packages: GHS 5 per KG/day
7.3. Goods left in the Ghana warehouse for over 2 months may be auctioned or sold
at fair value to recover costs.
8. Regulatory Authority
8.1. All container loads are subject to security checks in China or Ghana.
8.2. If narcotics, ammunition, or banned substances are detected, relevant persons
will be reported to authorities without prior notice, and all related costs will be borne
by the Principal.
8.3. Misrepresentation of goods is strictly prohibited. Any costs incurred due to falsedeclarations will be charged to the Principal.
8.4. Delays caused by additional inspections must be promptly communicated to the
Principal. The Principal must assist by providing required documentation.
8.5. Sensitive and special goods that attract special duties will be transfered to
supplier or clients. (the extra duty will be paid by the client or supplier)
9. Mode of Operation
9.1. The Service Provider operates on a FIFO
principle (First In, First Out).
9.2. Goods received first will be shipped first (subject to the nature of goods).
9.3. Goods arriving first at the warehouse must be picked up first.
9.4. The Service Provider may refuse release of newer packages if earlier ones are
not picked up.
9.5. The Service Provider does not sell goods on behalf of the Principal. They may,
however, withhold later goods until earlier ones are collected.
10. Fair Sales
10.1. Fair Sale
means selling goods at the cost obtained from the origin country, with
or without shipping fees attached.
10.2. Goods neglected at the warehouse may be sold by the Service Provider to
recover operating costs. Remaining proceeds, if any, will be made available to the
Principal.
10.3. Goods left for more than two months are subject to Fair Sale.
10.4. Goods valued below the service fee will be sold at the highest possible price to
recover costs.
10.5. Prohibited goods causing extra operating costs are also subject to Fair Sale if
the Principal refuses to cover costs.
11. No Names (No Marks)
11.1. It is the Principal’s responsibility to ensure their shipping mark is written on
packages. Suppliers must comply with this requirement.
11.2. The Service Provider accepts all goods with warehouse entry codes at the
receiving warehouse.11.3. The Service Provider is not liable for goods without shipping marks. They will only
assist in locating such goods where possible. Principals may request permission to
search through unmarked packages.
11.4. Goods unclaimed for more than 2 months are subject to Fair Sale.
11.5. The Service Provider may assist in locating unmarked goods at their discretion.
For urgent retrieval, the Principal may personally search for their items.
12. Severability & Entire Agreement
12.1. If any provision of these Terms and Conditions is found to be invalid, illegal, or
unenforceable, the remaining provisions shall remain in full force and effect.
12.2. These Terms and Conditions constitute the entire agreement between
Prime
Pre Limited Principal
and the , and supersede any prior agreements,
representations, or understandings, whether written or oral, relating to the subject
matter herein.
12.3. No waiver of any provision of these Terms and Conditions shall be deemed a
waiver of any other provision, nor shall any waiver constitute a continuing waiver.
